Terms of Service

These terms govern the use of SitePay (sitepay.app), operated by Primesoft Tech Pvt. Ltd., a company registered in Nepal (“we”, “us”). SitePay is business software: by creating or using a SitePay workspace you agree to these terms on behalf of the business you represent (the “customer”, “you”).

1. The service

SitePay is workforce-management and payroll software for Australian labour-hire and contractor businesses: sites and rosters, timesheets and approvals, pay rates, payroll runs, payment tracking, and bank payment (ABA) file generation. SitePay provides the software as a tool. SitePay never holds your funds, never moves money, and never holds your bank credentials. Bank payment files are generated for you to review and upload to your own bank.

2. You are responsible for verifying payments

You are solely responsible for reviewing and verifying all pay amounts, payroll runs, and bank payment files (including ABA files) before authorising any payment. Payroll output reflects the rates, hours, and settings entered into your workspace. Bank transfers made from a payment file cannot be reversed by us, so check every file before you upload it to your bank.

3. Compliance is your responsibility

Award-rate, wage-compliance, tax, and superannuation obligations remain entirely your responsibility. SitePay does not provide legal, tax, or payroll-compliance advice, and does not check the rates you configure against awards, agreements, or legislation. Obtain your own professional advice.

4. Your account

  • Keep login credentials confidential. You are responsible for activity that occurs under your workspace’s accounts.
  • Keep the information you enter accurate and up to date.
  • Use SitePay lawfully. Do not resell, sublicense, or share access outside your business, and do not interfere with or attempt to bypass the service’s security or access controls.

5. Your data

You own the data in your workspace. You grant us a licence to host and process it only as needed to operate, provide, and support the service. How we handle personal information is described in our Privacy Policy. We own SitePay and all intellectual property in it; these terms give you a right to use the service, not ownership of the software.

6. Service availability

We aim to keep SitePay available and use reasonable efforts to do so, but we do not guarantee uninterrupted availability and offer no uptime service-level agreement. Maintenance windows may occur, and features may change as the product evolves.

7. Fees

Fees are as agreed with us in writing (in an order or invoice) and are payable as invoiced. We may revise pricing with at least 30 days’ notice; continued use of the service after a pricing change takes effect constitutes acceptance of it.

8. Liability

To the maximum extent permitted by law:

  • we are not liable for indirect or consequential loss (including loss of profits, revenue, data, or goodwill);
  • our total aggregate liability arising out of or in connection with the service is capped at the fees you paid us in the three months before the event giving rise to the claim;
  • we are not liable for underpayments, overpayments, or compliance shortfalls arising from the rates, hours, or data entered into your workspace, or from payments you authorised (see sections 2 and 3).

Nothing in these terms excludes guarantees that cannot be excluded under the Australian Consumer Law. Where such a guarantee applies and our liability can be limited, it is limited (at our option) to resupplying the services or paying the cost of having them resupplied.

9. Suspension and termination

We may suspend or terminate a workspace for non-payment or for material breach of these terms. You may stop using SitePay at any time. On termination, you may request a copy of your workspace data before it is deleted. We will give you a reasonable opportunity to do so, after which we may permanently delete it.

10. Changes to these terms

We may update these terms from time to time. We will give notice of material changes through the app or by email. Continuing to use SitePay after a change takes effect means you accept the updated terms.

11. Governing law

These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.
